Effective 1 January 2026 · Binding agreement between Nubya and Users

Important: Please read these Terms carefully. By accessing or using the Platform, you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.

2.1 Acceptance and Binding Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you and Nubya governing your use of the Platform. By creating an account or using the Platform, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

2.2 Eligibility

You may use the Platform only if:

  • You are at least 13 years of age (or the minimum age required by applicable law in your jurisdiction, whichever is higher).
  • You have the legal capacity to enter into a binding contract in your jurisdiction.
  • Your account has not previously been suspended or terminated by Nubya.
  • Your use of the Platform does not violate applicable laws or regulations.

Nubya reserves the right to verify eligibility and to deny or terminate access where eligibility requirements are not met.

2.3 Account Registration and Security

You must provide accurate, complete, and current information during registration.

You are responsible for maintaining the confidentiality of your account credentials.

You must notify Nubya immediately at security@nubya.app of any unauthorized access or suspected breach.

You are responsible for all activities conducted through your account.

Nubya is not liable for losses resulting from unauthorized account access where you failed to take reasonable security precautions.

2.4 License Grant and Intellectual Property

Subject to these Terms, Nubya grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes.

You retain ownership of Content you upload to the Platform. By uploading Content, you grant Nubya a worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, display, distribute, and create derivative works from your Content, solely to the extent necessary to operate, develop, and improve the Platform and related services.

All Platform technology, software, design, trademarks, logos, and materials are the intellectual property of Nubya or its licensors. You may not copy, reverse-engineer, decompile, or create derivative works from Platform technology without Nubya's prior written consent.

2.5 Prohibited Activities

Users must not:

  • Engage in or facilitate illegal activities, including fraud, money laundering, or distribution of illegal content.
  • Harass, bully, threaten, stalk, or abuse other users or third parties.
  • Impersonate any person or entity or misrepresent affiliation with any person or entity.
  • Upload, transmit, or distribute spam, malware, viruses, or malicious code.
  • Infringe or misappropriate intellectual property rights of third parties.
  • Engage in unauthorized data collection, scraping, or mining of Platform data.
  • Manipulate engagement metrics, create fake accounts, or conduct coordinated inauthentic behaviour.
  • Circumvent, disable, or interfere with Platform security features or access controls.
  • Use the Platform for commercial advertising or solicitation without authorization.

2.6 Platform Rights and Enforcement

Nubya reserves the right, in its sole discretion, to:

  • Remove or restrict Content that violates these Terms or applicable policies.
  • Suspend, restrict, or permanently terminate accounts for policy violations.
  • Modify, suspend, or discontinue any feature or aspect of the Platform at any time.
  • Cooperate with law enforcement investigations and comply with legal obligations.

Nubya will endeavour to provide reasonable notice of enforcement actions where required by law or consistent with platform policies.

2.7 Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, NUBYA'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNTS PAID BY YOU TO NUBYA IN THE 12 MONTHS PRECEDING THE CLAIM.

NUBYA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

These limitations do not exclude liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.

2.8 Indemnification

You agree to indemnify, defend, and hold harmless Nubya, its owners, affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Platform; (b) your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

2.9 Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria and the laws of England and Wales, without regard to conflict of law principles. Any dispute arising out of or related to these Terms shall be subject to the jurisdiction of the courts of the Federal Republic of Nigeria and England and Wales, provided that nothing in this clause limits Nubya's right to seek injunctive or other equitable relief in any jurisdiction.

Users in the European Union and the United Kingdom retain any statutory rights to bring claims before courts in their jurisdiction of residence.

2.10 Modifications to Terms

Nubya may update these Terms at any time. Material changes will be communicated with at least 30 days' notice for existing Users. Continued use of the Platform after the effective date of changes constitutes acceptance.
